Terms & Conditions

for Swasthik Tech Solutions Inc.

1. Scope of Services

Swasthik Tech Solutions Inc. provides:

  • Custom software development
  • Cloud migration and infrastructure services
  • Data engineering and analytics
  • AI and automation solutions
  • IT consulting and managed services

All services are governed by formal agreements (MSA, SOW, SLA).

2. Client Responsibilities

Clients agree to:

  • Provide accurate requirements and documentation
  • Ensure lawful use of systems and data
  • Maintain necessary licenses and permissions for data used
  • Cooperate during project execution

3. Service Delivery Model (Industry-Specific)

Given the nature of IT services:

  • Deliverables may be iterative (Agile methodology)
  • Timelines depend on scope, dependencies, and client inputs
  • Changes in scope may impact cost and delivery timelines

4. Intellectual Property Rights

Unless otherwise agreed:

  • Custom-developed solutions may be assigned to the client upon full payment
  • Pre-existing frameworks, tools, and reusable components remain the property of Swasthik

Third-party software remains subject to its own licensing terms

5. Data Protection & Confidentiality

Both parties agree to:

  • Maintain strict confidentiality of shared data
  • Use information only for agreed purposes
  • Implement appropriate security safeguards

Separate Data Processing Agreements (DPA) may apply.

6. Limitation of Liability (IT-Specific)

To the extent permitted under Canadian law:

Swasthik shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits, business, or data
  • Downtime caused by third-party platforms (cloud providers, APIs)

Total liability is limited to the value of the contracted services.

7. Third-Party Dependencies

Solutions may depend on:

  • Cloud providers (AWS, Azure, GCP)
  • APIs, integrations, or external platforms

We are not responsible for outages or failures caused by third parties.

8. Service Levels & Support

Where applicable:

  • SLAs define uptime, response, and resolution times
  • Support is provided as per agreed service plans

9. Payment Terms

  • Fees are defined in project agreements
  • Milestone-based or time-based billing may apply
  • Delayed payments may result in suspension of services

10. Termination

Either party may terminate:

  • As per contractual terms
  • For breach of agreement
  • For non-payment

Upon termination:

  • Access may be revoked
  • Data handling follows agreed terms

11. Governing Law & Jurisdiction

This agreement is governed by the laws of Canada and applicable provincial laws (e.g., Ontario / British Columbia, depending on registration).

12. Force Majeure

We are not liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Cyber incidents
  • Infrastructure failures

13. Amendments

These terms may be updated periodically. Continued use of services indicates acceptance.
